Document Ref: DM-GP-2026-V5 Effective: August 2026 RC 2016171

De’Mill Integrated Services Limited operates at the intersection of international capital and critical industrial infrastructure. This charter establishes the binding operational rules that every employee, contractor, and partner must uphold. We display these principles publicly to demonstrate our commitment to transparency, safety, and scalable excellence.

Compliance Mandate: Unified Nigeria Tax Act, SEC Regulations, and SCUML Anti-Financial Crime Guidelines.

01

Maritime & Offshore Infrastructure

Asset Integrity & Indigenous Compliance

  • Vessel Safety Baselines: We do not finance, lease, or clear capital for any maritime asset unless it holds verified, active certification under the International Safety Management (ISM) and International Ship and Port Facility Security (ISPS) Codes.
  • Cabotage & Registry Integrity: All marine infrastructure projects structured by De’Mill must maintain legal registration with the Nigerian Ship Registry in strict compliance with the Coastal and Inland Shipping (Cabotage) Act.
  • Local Content Enforcement: We strictly enforce indigenous management and core technical team structures, satisfying all NCDMB human capacity development guidelines to maximize domestic value creation.
02

Corporate Risk, QHSE & Governance

Zero-Harm Operational Safeguards

  • Integrated Quality Systems: Our operations strictly align with ISO 9001 (Quality), ISO 14001 (Environmental Management), and ISO 45001 (Occupational Health & Safety).
  • Dual-Control Financial Mandate: No single employee may unilaterally approve transactions or commitments exceeding ₦1,000,000. Every payment requires dual digital authorization.
  • Absolute Whistleblower Protection: We maintain independent, anonymous reporting channels with zero tolerance for retaliation against any staff member reporting ethical or safety violations.
03

Financial, Tax & Capital Markets

Partner Eligibility, Market Advisory & Asset Underwriting

We only engineer capital and provide advisory services for clients, issuers, and investors who meet our mandatory regulatory and financial compliance requirements.

  • Capital Markets & Equity Financing: All corporate clients pursuing capital raising, IPOs, rights issues, private placements, or venture/private equity infusions must pass our pre-qualification audit. Portfolio and securities advice must align with the client’s verified risk profile and SEC-compliant exchange frameworks.
  • Corporate, Trade & Project Finance: We only structure debt solutions, balance sheet optimisation, and development funding for entities with clean institutional credit histories. Partners using SPVs, syndicated loans, LCs, bank guarantees, or invoice discounting must provide fully audited financial histories.
  • Tax Advisory & Wealth Preservation: Capital-raising structures must legally leverage tax deductibility. Cross-border trade and estate/trust setups must adhere to the FIRS Tax-Pro Max framework and Capital Gains Tax (CGT) laws.
  • Escrow & Settlement Controls: Funds and seller assets are only ring-fenced or released in controlled, verified tranches tied to documented project milestones or equity tranches.
  • Anti-Money Laundering: De’Mill maintains active registration with SCUML. A comprehensive KYC audit and ultimate beneficial owner (UBO) verification are mandatory before executing any financial advisory contract.
04

Energy & Logistics

Sustainable Supply Chain Management

  • Decarbonization Metrics: We mandate measurable greenhouse gas reduction strategies across all shipping, overland logistics, and project supply chains under our advisory.
  • Vendor Due Diligence: All third-party logistics providers, terminal operators, and engineering subcontractors must sign and conform to the De’Mill Supplier Code of Conduct prior to contract award.
  • Regulatory Fluidity: Logistics tracking must utilise automated, digital clearing frameworks to prevent customs, port authority, or transit delays.
05

Diversified Investments

Ethical Capital & ESG Integration

  • Mandatory ESG Screening: Every investment target, joint venture, and capital deployment must pass a rigorous Environmental, Social, and Governance (ESG) due diligence scorecard.
  • Transparent Impact Reporting: De’Mill publishes annual sustainability disclosures mapped to Global Reporting Initiative (GRI) frameworks.
  • Long-Term Growth Focus: We reject short-term gains that compromise ecological integrity, labour welfare, or local community health.
